Welcome to Happy Turtle Marketplace. By accessing or using our website at happyturtle.xyz, you agree to be bound by these Terms of Service. Please read them carefully.

1. About Our Marketplace

Happy Turtle LLC operates a commission-based online marketplace that connects verified vendors with consumers. We facilitate transactions between buyers and sellers but are not a party to the actual sale of products. Vendors are independent businesses responsible for the quality, accuracy, and fulfillment of their products.

2. Account Registration

To make purchases, you must create an account with a valid email address. You are responsible for maintaining the security of your account credentials and for all activity under your account. You must be at least 18 years old to create an account.

3. Purchases and Payments

  • All prices are listed in US Dollars (USD)
  • Payments are processed securely through Stripe
  • Sales tax (6.875%) is applied to orders shipped to Minnesota addresses
  • Shipping costs are calculated at checkout based on the vendor's location and your delivery address
  • You agree to pay all charges incurred through your account at the prices in effect when the charges were incurred

4. Vendor Terms

Vendors must apply and be approved before selling on our platform. Approved vendors agree to:

  • Provide accurate product descriptions, pricing, and imagery
  • Fulfill orders promptly (within 3 business days)
  • Maintain adequate stock levels
  • Comply with all applicable laws and regulations
  • Pay the platform commission (10% standard, 7% for vendors with 10+ approved products)
  • Complete Stripe Connect onboarding for payouts

5. Product Approval

All products submitted by vendors are subject to review and approval by Happy Turtle. We reserve the right to reject or remove any product that does not meet our quality standards, violates these terms, or is otherwise inappropriate for our marketplace.

6. Returns and Refunds

Returns are handled by individual vendors. Please see our Return Policy for details. If a dispute cannot be resolved with the vendor, you may escalate to our support team for mediation.

7. Prohibited Conduct

You agree not to:

  • Use the marketplace for any unlawful purpose
  • Submit false or misleading information
  • Attempt to gain unauthorized access to accounts or systems
  • Interfere with the proper operation of the marketplace
  • Engage in fraudulent transactions or chargebacks

8. Intellectual Property

The Happy Turtle name, logo, and website design are the property of Happy Turtle LLC. Vendors retain ownership of their product content but grant us a license to display it on our platform. You may not reproduce, distribute, or create derivative works from our content without permission.

9. Limitation of Liability

Happy Turtle LLC acts as a marketplace facilitator. We are not liable for the quality, safety, or legality of products sold by vendors, nor for any disputes between buyers and sellers. Our total liability is limited to the fees we collected on the relevant transaction.

10. Account Termination

We reserve the right to suspend or terminate accounts that violate these terms. You may delete your account at any time through your account settings, subject to a 45-day grace period before permanent deletion.

11. Changes to These Terms

We may update these Terms of Service from time to time. We will notify users of material changes via email. Continued use of the marketplace after changes constitutes acceptance of the updated terms.
